1. Acceptance of Terms
By accessing or using the TERES Legal Technology platform ("Service"), including our AI-powered transcription services, DASH document management system, and other legal technology solutions, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Service.
These Terms apply to all users of the Service, including without limitation users who are browsers, customers, merchants, and/or contributors of content.
2. Definitions
- "TERES": Refers to TERES Legal Technology Pte Ltd, registered in Singapore.
- "Service": All products and services offered by TERES, including AI transcription, DASH platform, e-discovery, and hearing support services.
- "User": Any individual or entity accessing or using the Service.
- "Client": A User who has entered into a paid subscription or service agreement.
- "Content": All materials, including transcripts, documents, recordings, and data uploaded or created through the Service.
- "Confidential Information": Any information marked as confidential or that would reasonably be considered confidential, including legal proceedings and case materials.
3. Services Description
3.1 AI-Powered Transcription
TERES provides real-time and post-event transcription services using advanced AI technology with human review options. Services include:
- Real-time transcription with live streaming capabilities
- Same-day, 1-day, 2-day, and 7-day turnaround options
- 98%+ accuracy for AI transcription, 99.5%+ with human review
- Legal terminology specialization and speaker identification
3.2 DASH Platform
Our comprehensive document and hearing management system provides:
- Centralized document repository with version control
- Advanced search and indexing capabilities
- Secure collaboration tools for legal teams
- Real-time synchronization across devices
3.3 Additional Services
- E-Discovery and document analysis
- Electronic hearing bundles preparation
- Audio-visual setup and recording
- Remote hearing technical support
4. Account Registration
4.1 Account Creation
To access certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities under your account
- Notify TERES immediately of any unauthorized use
4.2 Account Requirements
You must be at least 18 years old and have the legal capacity to enter into contracts. Corporate accounts must be created by authorized representatives.
5. Multi-Tenant Usage
5.1 Tenant Isolation
TERES operates a multi-tenant architecture with strict data isolation between tenants. Each Client's data is logically separated and encrypted.
5.2 Tenant Responsibilities
- Managing user access within your organization
- Ensuring compliance with applicable laws and regulations
- Maintaining the confidentiality of your tenant credentials
- Respecting the privacy and data of other tenants
6. Payment Terms
6.1 Fees and Billing
- Fees are based on selected service package and usage
- All fees are quoted in Singapore Dollars (SGD) unless otherwise specified
- Payment is due within 30 days of invoice date
- Late payments may incur interest at 1.5% per month
6.2 Subscription Plans
We offer Essential, Professional, and Enterprise plans with different feature sets and support levels. Custom enterprise agreements are available for large organizations.
6.3 Refund Policy
Refunds are provided according to our separate Refund Policy, which includes provisions for service failures and quality guarantees.
7. Intellectual Property
7.1 TERES Property
The Service, including all software, designs, and content created by TERES, remains the exclusive property of TERES and is protected by intellectual property laws.
7.2 Client Content
You retain all rights to Content you upload to the Service. By uploading Content, you grant TERES a limited license to process, store, and display the Content solely for providing the Service.
7.3 Transcription Output
Transcripts and other output generated from your Content belong to you. TERES claims no ownership rights in the transcription output or processed documents.
8. Data Protection
8.1 Security Measures
TERES implements military-grade security including:
- 256-bit AES encryption for data at rest and in transit
- ISO 27001:2022 certified information security management
- Regular security audits and penetration testing
- Strict access controls and audit logging
8.2 Confidentiality
TERES maintains strict confidentiality of all legal proceedings and respects attorney-client privilege. Our staff are bound by comprehensive confidentiality agreements.
8.3 Data Retention
Client data is retained according to agreed terms and applicable legal requirements. Upon termination, data can be exported or securely deleted as requested.
9. Limitation of Liability
9.1 Service Liability
TERES' total liability for any claim arising from the Service shall not exceed the fees paid by the Client in the 12 months preceding the claim.
9.2 Exclusions
TERES shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, data, or business opportunities
- Damages arising from force majeure events
- Third-party actions or content
9.3 Indemnification
You agree to indemnify TERES against claims arising from your use of the Service, violation of these Terms, or infringement of third-party rights.
10. Termination
10.1 Termination by Client
Clients may terminate their subscription with 30 days written notice. Prepaid fees are non-refundable except as provided in the Refund Policy.
10.2 Termination by TERES
TERES may terminate or suspend access immediately for:
- Violation of these Terms
- Non-payment of fees
- Suspected fraudulent or illegal activity
- Risk to security or other users
10.3 Effect of Termination
Upon termination, access to the Service ceases immediately. Clients have 30 days to export their data before deletion.
11. Governing Law
11.1 Applicable Law
These Terms are governed by the laws of Singapore, without regard to conflict of law principles.
11.2 Dispute Resolution
Any disputes shall be resolved through arbitration at the Singapore International Arbitration Centre (SIAC) according to SIAC Rules.
11.3 Jurisdiction
For matters not subject to arbitration, the courts of Singapore shall have exclusive jurisdiction.
